Terms of Service

These Terms of Service govern your access to and use of the FitOS gym management platform, member mobile applications, trainer portals, web dashboards, APIs, and associated digital services.

Section 1

1. Operating Entity & Platform Overview

FitOS ("Platform", "Service", "we", "us", or "our") is an enterprise fitness management operating system developed and operated by [LEGAL ENTITY NAME], a Limited Liability Partnership (LLP) established in India.

FitOS delivers a unified multi-tenant software suite comprising gym administration web dashboards, personal trainer workflow tools, reception check-in terminals, and member mobile applications across iOS and Android.

Section 2

2. Acceptance of Terms

By creating an account, accessing any FitOS dashboard, downloading the mobile application, or authenticating via OTP, you express your unconditional agreement to be bound by these Terms.

If you are entering into these Terms on behalf of a commercial fitness center, studio, or corporate entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms.

Section 3

3. Eligibility & Legal Age

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to establish a commercial Gym Account or purchase subscription plans on FitOS.

Individuals between 13 and 18 years of age may access member features only under verified parental or guardian supervision through their gym facility.

Section 4

4. Definitions & Interpretations

"Gym Account" means an organizational tenancy created for a commercial fitness center, gym, or studio on FitOS.

"Gym Owner" means the authorized commercial entity or individual who subscribes to FitOS for operating their facility.

"Trainer / Staff" means authorized individuals designated by a Gym Owner to manage classes, members, or train clients.

"Member" means an individual end-user registered under or invited by a Gym Account to record attendance, view workouts, and track progress.

"User Content" means information, logs, schedules, and materials uploaded or submitted to the Platform.

Section 5

5. Multi-Tenant Role Hierarchy & RBAC

FitOS enforces strict Role-Based Access Control (RBAC). The distinct platform tiers include: (a) Gym Owner, (b) Gym Manager / Staff, (c) Personal Trainer, and (d) Gym Member.

Each role possesses isolated access privileges. User data is partitioned by tenant gym identifiers, ensuring strict separation between unrelated fitness centers.

Section 6

6. Account Creation & Security

Users must provide authentic, accurate, and current information during registration. Phone number authentication operates via secure One-Time Passwords (OTP).

You are strictly responsible for maintaining the confidentiality of your session credentials and for all actions taken under your account.

Section 7

7. Gym Facility Onboarding & Verification

Commercial gym facilities must undergo standard identity and administrative verification during setup.

FitOS reserves the right to request proof of business registration, GSTIN documentation (where applicable), and facility operating licenses.

Section 8

8. SaaS License Grant & Scope

Subject to timely fee payment and compliance with these Terms, [LEGAL ENTITY NAME] grants you a revocable, non-exclusive, non-transferable, limited license to access and use FitOS solely for internal gym operations.

No source code, proprietary algorithms, or architectural assets are sold or transferred under this license.

Section 9

9. Introductory Pilot Program

Qualifying gym facilities may be onboarded under the FitOS 3-month Pilot Program on the Mid-Tier Standard Pilot.

The pilot program is non-binding and does NOT automatically convert into an annual paid lock-in or automatically charge credit cards without explicit opt-in.

10. Subscription Tiers & Billing Structure

Paid commercial access is structured across tiered plans scaled by active member roster size, staff seats, and branch locations.

Billing schedules, invoicing terms, and upgrade options are detailed in the Subscription & Payment Terms.

Section 11

11. Pricing Modifications & Notifications

We reserve the right to revise pricing for ongoing subscriptions upon providing at least thirty (30) days prior written notice via dashboard banner or email.

Price changes will only take effect upon the expiration of your current active billing cycle.

Section 12

12. Payment Gateway & Tokenization

All monetary transactions are processed through RBI-authorized payment aggregators (such as Razorpay, Cashfree, or Stripe).

FitOS does not store raw credit/debit card numbers, CVVs, or bank net-banking passwords on its internal databases.

Section 13

13. Failed Payments & Grace Period Policy

In the event of an automated recurring payment failure, FitOS provides an active 7-day Grace Period during which all core gym services remain uninterrupted.

If payment remains outstanding after 7 days, access may be transitioned to a read-only or suspended status without immediate deletion of gym historical data.

Section 14

14. Subscription Cancellation

Gym Owners may cancel their ongoing subscription renewal at any time through the Owner Dashboard billing settings.

Cancellation terminates future auto-renewals; active service will continue until the end of the current prepaid billing period.

Section 15

15. Refund Policy

Subscription fees and pilot onboarding charges are non-refundable once digital access has been provisioned, except where mandated by statutory Indian consumer protection laws or in cases of severe unresolvable platform outages.

Section 16

16. Acceptable Use Policy

You agree not to: (a) reverse engineer, decompile, or extract source code; (b) probe or bypass vulnerability defenses; (c) scrape member data; (d) upload malware or malicious payloads; or (e) use FitOS for unlawful activities.

Section 17

17. Attendance & QR Code Security

FitOS member check-ins utilize dynamic, time-rotating cryptographic QR tokens. Members and staff are strictly prohibited from sharing screenshots or tokens to facilitate fraudulent gym entry.

Gym Owners retain the right to audit and invalidate suspect check-in logs.

Section 18

18. Biometric Terminal Integration

Where a gym opts to integrate biometric attendance hardware (fingerprint or facial verification readers), the gym acts as the primary Data Fiduciary under the DPDP Act 2023.

FitOS stores only anonymized mathematical verification templates. Raw biometric fingerprint or facial imagery is never transmitted or retained in cloud storage.

19. Gym Owner Responsibilities

Gym Owners are solely responsible for: (a) obtaining member consent for physical facility access, (b) executing membership agreements, (c) physical gym premises safety, and (d) lawful handling of exported member records.

Section 20

20. Trainer Professional Conduct

Trainers must review all training recommendations to match client physical capabilities, prior medical injuries, and fitness levels.

Trainers must not share their administrative credentials or misuse client phone numbers for unapproved communications.

Section 21

21. Member Responsibilities & Safety

Members must provide truthful physical readiness information and consult certified medical doctors before attempting heavy compound lifts or drastic diet modifications.

Members must immediately halt exercise if they experience dizziness, chest pain, or acute muscular discomfort.

22. AI Guidance & Algorithmic Limits

FitOS integrates algorithmic scoring and AI assistants for workout generation and nutritional tracking. All AI outputs are informational approximations and subject to the AI & Fitness Disclaimer.

23. Recovery Score Calculations

The Intelligent Recovery Score is an algorithmic calculation based solely on recorded training volume, completed reps, and elapsed rest intervals. It does not measure clinical fatigue or internal physiological vitals.

24. Nutritional & Food Scanner Estimates

Macro breakdowns and caloric estimations generated by the food scanner are derived from public nutritional databases and computer vision models. Actual nutritional values may differ significantly.

25. Intellectual Property Rights

All intellectual property rights, trademarks, UI designs, databases, software modules, and brand assets associated with FitOS belong exclusively to [LEGAL ENTITY NAME].

Users are granted no rights beyond the limited operational SaaS license outlined herein.

26. User Content & Gym Data Ownership

Gym Owners and Members retain full ownership of the raw data, workout logs, member rosters, and media they upload to FitOS.

You grant FitOS a worldwide, royalty-free license to store, process, and transmit this data strictly for providing and improving platform services.

27. Data Protection & Privacy Compliance

FitOS processes personal data in strict compliance with the Digital Personal Data Protection (DPDP) Act, 2023. Our complete practices are detailed in the FitOS Privacy Policy.

28. Gym Data Portability & Export Rights

Gym Owners can generate and download comprehensive data exports (including member rosters, attendance logs, and financial summaries in CSV/JSON format) directly from the Settings panel at any time.

29. Data Retention & Account Deletion

Operational data is retained for the active lifespan of the gym account. Upon subscription termination or a formal erasure request, data enters a 30-day retention buffer before permanent purge, subject to legal accounting requirements.

30. Confidentiality & Non-Disclosure

Each party agrees to safeguard non-public commercial, technical, and member data shared in connection with FitOS using the same standard of care used for its own confidential information.

31. Technical Security Standards

FitOS implements TLS 1.3 encryption for data in transit, AES-256 encryption at rest for sensitive records, token-based authentication, and continuous automated vulnerability assessments.

32. Third-Party Services & Infrastructure

FitOS utilizes third-party cloud hosting (e.g. AWS / Google Cloud), transactional SMS providers, and WhatsApp Business APIs. FitOS is not liable for upstream carrier delivery delays or third-party cloud network outages.

33. Service Level & Uptime Commitment

We target a 99.9% uptime availability for core check-in and dashboard services, excluding pre-announced maintenance windows and force majeure events.

34. Maintenance Windows & Updates

Routine system upgrades and database optimizations are performed during low-traffic off-peak hours. Advance notifications are posted to the administrative dashboard.

35. Feature Enhancements & Modifications

We continually enhance FitOS. We may add, adjust, or deprecate specific features, provided that such modifications do not materially degrade core subscribed capabilities.

36. Immediate Suspension for Material Breach

FitOS may immediately suspend or terminate access without notice if a user engages in fraudulent payment activities, unauthorized security probing, or systematic abuse of platform infrastructure.

37. Disclaimer of Warranties

Except as explicitly provided herein, FitOS is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.

38. Limitation of Liability

To the maximum extent permitted by applicable Indian law, neither [LEGAL ENTITY NAME] nor its partners, employees, or affiliates shall be liable for indirect, incidental, special, punitive, or consequential damages.

Total aggregate liability for all claims arising out of these Terms shall not exceed the total fees paid by the customer in the three (3) months preceding the incident.

Section 39

39. Mutual Indemnification

You agree to defend, indemnify, and hold harmless FitOS against any third-party claims, liabilities, or losses arising from: (a) your violation of these Terms, (b) your physical facility operations, or (c) infringement of member privacy rights caused by your gym staff.

Section 40

40. Force Majeure Events

Neither party shall be liable for failure or delay in performing its obligations due to events beyond reasonable control, including natural disasters, governmental restrictions, telecommunication blackouts, or war.

Section 41

41. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be negotiated in good faith for 30 days.

If unresolved, disputes shall be referred to and finally resolved by sole arbitration in India in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bangalore, Karnataka.

Section 42

42. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Section 43

43. Severability & Entire Agreement

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

These Terms, along with the Privacy Policy and Subscription Terms, constitute the entire agreement between the parties.
